| 14 | a) For each Site and for each Contract Year, the Bidder may quote either the Viability Gap Funding (“VGF”) sought from OTDC or the Premium offered and payable to OTDC. The Bidder may quote VGF for one or more Contract Years and Premium for one or more other Contract Years; provided that both VGF and Premium shall not be quoted for the same Contract Year. If the Bidder quotes both VGF and Premium for the same Contract Year, the Financial Proposal for the relevant Site shall be treated as non-responsive and rejected. |
| 15 | b) For each Site, preference shall first be given to responsive and technically eligible Bidders quoting Annual Premium payable to OTDC. The Bidder quoting the highest aggregate Premium (H1) for the Contract Period, or such other financial parameter as specified in the Financial Proposal and Bid Evaluation Criteria, shall ordinarily be selected as the Preferred Bidder for that Site. |
| 16 | c) Only in the event that no responsive and technically eligible Bidder quotes Premium for a particular Site, OTDC shall consider the responsive and technically eligible Bidders quoting VGF. In such case, the Bidder seeking the lowest aggregate VGF (L1) for the Contract Period, or such other financial parameter as specified in the Financial Proposal and Bid Evaluation Criteria, shall ordinarily be selected as the Preferred Bidder for that Site. |
| 17 | d) A bidder quoting both Premium and VGF for the same Site and same Contract Year, or containing any conditional financial offer, shall be liable to be rejected as non-responsive. |
| 18 | e) The Tender Committee constituted by OTDC shall evaluate the Financial Proposal for each Site by calculating the Net Financial Amount for the entire Contract Period. For this purpose, the Premium offered by the Bidder for each Contract Year shall be treated as a positive value (+), and the Viability Gap Funding (“VGF”) sought by the Bidder for each Contract Year shall be treated as a negative value (−). The Net Financial Amount shall be determined by the arithmetic summation of the Premium offered and/or VGF sought for all Contract Years, in accordance with the following formula: |

| 20 | f) The Bidder offering the highest Net Financial Amount (NF) for the relevant Site shall be ranked as the Highest Financial Bidder (H-1); in case of VGF, bidder offering the lowest net financial amount (L-1) shall be declared the Preferred Bidder, subject to the other provisions of this RFP. For avoidance of doubt, a positive Net Financial Amount shall represent a net payment to OTDC, while a negative Net Financial Amount shall represent net VGF sought from OTDC. |
