The Subject Of The Contract Is To Take Out A Long -Term Loan Within The Meaning Of The Act Of August 29, 1997. - Banking Law (I.E., Journal Of Laws Of 2024, Item 1646, As Amended) In The Polish Currency, In The Amount Of Pln 11,547,558.00, Including: - Covering The Planned Budget Deficit Of The City Of Myszków In 2025 - In The Amount: Pln 9,717,558.00, - Repayment Pln 830,000.00. 2. The Loan Is Granted In Pln For The Period From The Date Of The Contract To 30.11.2040. 3. The Contractor Will Open The Contracting Authority Of The Ordering Party Within 3 Days From The Date Of The Contract And Will Keep It Until 30/11/2040 Or To The Date Of Total Repayment Of The Loan. 4. The Contractor Will Start The Loan By 29/12/2025. 5. The Employer Guarantees The Use Of Credit Funds In The Amount Of At Least Pln 2,000,000.00. 6. The Employer May Use The Credit Funds To Cover Expenses Incurred From Own Funds From 02.01.2025. Settlements Between The Ordering Party And The Contractor Regarding The Loan Granted Will Be Carried Out In Pln. 7. The Interest Rate On The Loan Will Be Determined On An Annual Basis, According To A Variable Interest Rate Equal To Wibor 1M, Increased By A Fixed Bank Margin. 8. The Wibor 1M Rate Will Be Calculated As The Arithmetic Average Of The Last Ten Quotations (Working Days) Preceding The Monthly Accounting Period, Rounded To Two Decimal Places. 9. In The Event That The Sum Of Wibor 1M And The Contractors Margin Reaches A Negative Value For Interest Rates, A 0%Rate Is Assumed. 10. If The Wibor 1M Base Rate Stops Publishing, The Employer Allows That By Agreement Of The Parties, The Wibor 1M Rate Has Been Changed To A Rate, Which Will Replace The Wibor Rate 1M Or The Rate Of The Most Similar Size And Character To The Wibor Rate 1M Without Costs Incriminating The Contracting Authority. Determining An Alternative Rate Will Require Annexing The Contract. 11. The First Accounting Period Will Be Counted From The Date Of Payment Of The First Tranche Of Credit And Ends On The Last Day Of The Calendar Month In Which The Withdrawal Was Made. The Contracting Authority Also Allows The First Accounting Period To Be Counted From The Date Of Payment Of The First Tranche Of Credit And Ends With The Penultimate Day Of The Calendar Month In Which The Payment Was Made. 12. The Last Accounting Period Will End On The Day Preceding The Total Repayment Of The Loan. 13. Protection Of The Contractors Claim Under The Concluded Contract Is A Blank Promissory Note, Issued By The Employer With An Attached Bill Of Exchange Declaration. The Treasurer Of The Myszków Commune Will Submit A Countersignat On A Promissory Note Declaration. 14. The Full Description Of The Subject Of The Contract Together With The Loan Repayment Schedule (Capital) And The Qualitative Requirements Of The Service Relating To Its Main Elements Was Placed In Annex 8 To Swz - The Planned Provisions Of The Public Procurement Agreement, Which Will Be Introduced Into The Public Procurement Contract. 15.
