Expression of Interest are invited for Legal Consultant for Uzbek Pumps Energy Efficiency PPP Project The Government of Uzbekistan (GoU) intends to modernize and implement energy efficiency measures across 400 water pumping stations (PSs) across the country in partnership with private sector partners to be selected through a competitive bidding process. The Ministry of Water Resources of Uzbekistan (MoWR) and the Ministry of Economy and Finance of Uzbekistan (MoEF) (both Clients) have requested IFC to act as lead advisor and provide transaction advisory support in structuring and implementation of a Public-Private Partnership (PPP) for the modernization of up to 200 PSs including selection of private sector partner(s) to design, build, finance, operate and maintain the Project under a long-term agreement with the Clients (the Project). As part of its role as lead advisor for the PPP Transaction, IFC will appoint a legal consultant (the Consultant) to support the implementation of the Project. The Consultant shall support IFC and the Clients with conducting legal and regulatory due diligence to identify any impediments to private sector participation in the sector, structuring the transaction, drafting of bid documents and support throughout the tender process, until qualified private sector partners are selected for the Project and the PPP agreement is executed between the Clients and the private sector partners. Scope of Work The Consultant will work under the coordination and supervision of IFC as Lead Transaction Advisor and is expected to notably perform the following tasks: - Perform comprehensive legal due diligence, including review of and advise on the existing legal, regulatory, contractual and structuring aspects of the Project (including risk allocations); - Draft, review, negotiate, and revise the relevant tender documentation and Project agreements (the Project Documents), that will have to be adjusted to the Projects specific circumstances and to the countrys context; - Assist in the implementation of the tender process by supporting IFC and the Clients until qualified private sector partner(s) for the Project are selected and the Project reaches commercial close (execution of the PPP Agreement). Qualification Criteria Interested firms will be evaluated based on the following: 1. Experience as legal advisor in similar PPP transactions in energy efficiency in any sector and/or the irrigation sector; 2. Experience in sell-side legal advisory, advising governments throughout the due diligence and tender process, to commercial close; 3. General experience in structuring PPP projects; 4. Good understanding of the local laws and regulations; 5. Adequacy of the team with the criteria listed in the next section; 6. Ability of the team to work in English, Uzbek and in Russian. All deliverables are expected to be prepared in Russian and English only. 7. Adequacy of methodology and a proposed work plan that responds to the TOR. The IFC invites eligible firms to indicate their interest in providing the services. Interested firms must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff, etc. for firms; CV and cover letter for individuals). Firms may associate to enhance their qualifications unless otherwise stated in the solicitation documents. Where a group of firms associate to submit an EOI, they must indicate which is the lead firm. Firms are expected to partner with local entities to satisfy these requirements and local partner profile and experience should be indicated in the EOI. If shortlisted, the firm identified in the EOI as the lead firm will be invited to the request for proposal (RFP) phase, during which the scope of work will be further detailed. Shortlisting and selection will be subject to the availability of funding. Only those firms which have been shortlisted will be invited to participate in the RFP phase.
