Nrw.Bank Intends To Introduce Suitable Governance Risk & Compliance Standard Software (On-Premises) (Hereinafter Grc Software). The Grc Software Should Contain And Cover The Components Of Outsourcing Management, Information Security Management, Information Risk Management, Data Protection Management And Business Continuity Management. The Aim Is To Use The Grc Software To Comply With The Relevant Laws, Regulations And Other Regulatory And Supervisory Requirements That Are Currently And Will Be Applicable To Development Banks. Against This Background, The Subject Of The Tender Is A Framework Agreement For The Provision (On-Premises) Of The Grc Software By Way Of Purchase/Rental, Including Customizing Or Configuration, Migration Of Legacy Data, Licenses, Maintenance And Support, Training And System-Specific Advice. The Main Subject Is On-Demand Services (Licenses, Support, Consulting Days And Training) In Accordance With The Framework Agreement. The Expected Order Volume Amounts To Licenses For 250 Users (Or A Correspondingly Comprehensive Company License), 100 Consulting Days And 20 Training Courses. A Maximum Purchase Limit For Licenses (Including Maintenance And Support) Is Set For Up To 500 Users (Or A Correspondingly Comprehensive Company License), Up To 200 Consulting Days For Consulting Services And Up To 20 Training Courses. In This Respect, Nrw.Bank Does Not Have A Minimum Purchase Obligation. The Term Of The Framework Agreement Begins When The Contract Is Awarded And Is 6 Years (= 6 Contract Years) From The Start Of Real Operation (Initial Module). This Term Is Automatically Extended By A Further Year Unless The Framework Agreement Is Terminated In Writing By Nrw.Bank Six Months Before Expiry, But To A Maximum Of Ten Years From The Start Of Real Operations (= Ten Contract Years; Maximum Term). The Term Of The Individual Orders Placed On The Basis Of The Framework Agreement (I.E. In Particular The Licenses Accessed) Remains Unaffected By The Above Regulations. Insofar As The Individual Orders Concern The Rental Of Licenses, They Have A Uniform Term Of Six Years From The Start Of Real Operation - Regardless Of The Time At Which The License Is Called Up. This Term Is Automatically Extended By Another Year Unless The Licenses Are Terminated In Writing By One Party Six Months Before Expiry. The Same Applies To The System Service When Purchasing A License. Furthermore, Ordinary Termination Of The Framework Agreement Is Excluded. The Right To Termination Without Notice For Good Cause Remains Unaffected.
