While it is TCCs intention that the Contract will be a 5 year commitment with the Successful Respondent, any extension will be at TCCs sole discretion. The matters TCC may consider in determining whether to exercise its right of extension of the Contract term, will include the following. Whether the Successful Respondent has met all KPIs in accordance with the terms of the Contract during the term. Whether the Successful Respondent has materially breached any provision of the Contract. Whether TCC (acting reasonably) is satisfied with the Successful Respondents performance under the Contract. Wider organisational and sector considerations (including for example, water services reforms in New Zealand, TCCs then current procurement arrangements and business planning).
