1) The Subject Of The Order Is: Comprehensive Supply Of High-Methane Natural Gas For The Spytkowice Commune And Its Subordinate Units. The Ordering Party Established The Estimated Amount Of Gas Being The Subject Of The Order For A Period Of 12 Months At Approximately 672,880 Kwh, For Gas Collection Points, In Accordance With Annex No. 6 To The Swz. The Order Will Be Implemented In Accordance With The Provisions Of The Act Of April 10, 1997, Energy Law (Consolidated Text: Journal Of Laws Of 2021, Item 716, As Amended), The Civil Code And The Relevant Implementing Regulations.2) Qualitative Features Relating To The Subject Of The Order Are Specified In The Relevant Standards, In Particular In The Polish Standard Pn-C-04750 Gas Fuels. The Above Standard Defines Established Quality Standards Relating To All Important Features Of The Gas Sold. The Quality Of The Fuel Is The Responsibility Of The Gas Distribution System Operator (Dso) In Accordance With 30 Of The Regulation Of The Minister Of Economy Of July 2, 2010 On Detailed Conditions For The Operation Of The Gas System (Consolidated Text: Journal Of Laws Of 2018, Item 1158, As Amended). ). The Rules For The Provision Of Distribution Services Are Specified In The Instruction For Operation And Operation Of The Distribution Network (Iriesd), Approved By The Decision Of The President Of The Energy Regulatory Office (Pure). Therefore, Iriesd Sets Quality Standards Relating To All Important Features Of Gas Distribution.3) These Tender Procedures Concern The Sale And Delivery Of High-Methane Gas For The Period From January 1, 2024 To December 31, 2024. The Contractor Is Obliged To Terminate The Supply Agreements.4) The Gas Should Be Delivered 24 Hours A Day To The Delivery And Reception Points Listed In Annex No. 6 To The Swz, Which Is A Set Of Gas Devices Used To Connect The Internal Network, Owned By The Ordering Party, To The Gas Network Of The System Operator. 5) The Contractor Will Be Obliged To Ensure The Standards And Quality Of Service To The Ordering Party In Accordance With The Applicable Energy Law Provisions. It Should Ensure Continuity Of Supplies Without Any Interruptions In Supplies And Have A Reserve Guaranteeing Continuity Of Supplies.6) The Contractor Is Obliged To Have A Current Contract With The Distribution Network Operator (Except For The Operator Itself) Operating On The Premises Of The Ordering Party, Enabling The Sale Of Gas Fuel Via The Distribution Network To Collection Points Gas.7) The Ownership Of The Gaseous Fuel Is Transferred To The Ordering Party After Measurement At The Outlet Of The Gas Meter.8) The Contractor, Under The Comprehensive Agreement, Is Responsible For Ensuring Gas Measurement At Power Consumption Points In Accordance With Applicable Law And Dso Conditions.9) Consumption Volume Gas Is Estimated At Approx. 672,880 Kwh Over 12 Months For The Facilities Listed In Annex 6 To The Swz. The Demand For Gas Fuel Was Used To Calculate The Estimated Value Of The Order And May Differ From The Actual Use Of Gas Fuel, And In No Case May It Constitute The Basis For Any Claims On The Part Of The Contractor. Note: The Forecasted Gas Consumption Is Indicative Because It Is Not Possible To Determine In Advance The Amount That Will Be Delivered To The Ordering Party And Does Not Constitute An Obligation On The Part Of The Ordering Party To Purchase Gas Fuel In The Given Quantity. During The Execution Of The Order, The Ordering Party Reserves The Right To Reduce Or Increase The Total Amount Of Purchased Gas Fuel In Relation To The Amount Specified In The Swz (Including Annexes). The Occurrence Of The Circumstances Referred To Above Will Result In A Corresponding Reduction Or Increase In The Remuneration Due To The Contractor For The Implementation Of The Subject Of The Order.10) The Ordering Party Requires That The Settlement Of The Amount Of Supplied Gas Takes Place On A Monthly Basis, Based On The Actual Reading Of The Measurement System, According To Prices And Rates Specified In The Contractors Offer (Price Form Constituting Annex No. 1A To The Swz).11) The Ordering Party Allows Sending Vat Invoices Electronically. 12) Addresses Of Collection Points, Contractual Capacity, Contract Data, Consumption And Other Necessary Information Are Included In Annex No. 6 To The Swz. 13) The Contractor Is Obliged, Pursuant To The Power Of Attorney Granted For This Purpose By The Ordering Party, To Terminate The Existing Comprehensive Agreement For The Supply Of Gas Fuel And To Carry Out The Procedure For Changing The Gas Fuel Supplier, In Accordance With The Instruction For Operation And Operation Of The Distribution Network Regarding The Provision And Use Of Gas Fuel Distribution Services , Approved By The President Of The Energy Regulatory Office.14) The Supplied Natural Gas Should Meet Legal Requirements And Technical Parameters In Accordance With The Provisions Of The Act Of April 10, 1997. Energy Law (Consolidated Text: Journal Of Laws Of 2021, Item 716, As Amended) And Implementing Acts Issued On Its Basis And The Act Of February 16, 2007. On Stocks Of Crude Oil, Petroleum Products And Natural Gas And The Rules Of Conduct In Situations Of Threat To The States Fuel Security And Disruptions On The Oil Market (Consolidated Text: Journal Of Laws Of 2020, Item 411).15) The Ordering Party Declares That The Natural Gas Being The Subject Of This Order Is Intended For Heating Purposes, Therefore, To The Price Of Gas Fuel, The Contractor Is Obliged To Add Excise Tax In Accordance With The Applicable Rate Specified In The Act Of December 6, 2008 On Excise Duty (Consolidated Text: Journal Of Laws Of 2020, Item 722). )16) Order/Delivery, In Accordance With The Act On Tax On Goods And Services Of March 11, 2004 (Journal Of Laws 2018, Item 2174, As Amended), And The Regulation Of The Minister Of Finance Of December 17, 2015 In On The Method Of Determining The Scope Of Using Purchased Goods And Services For Business Purposes In The Case Of Certain Taxpayers (Journal Of Laws Of 2015, Item 2193), Is Related To Taxable, Exempt And Non-Taxable Activities For The Ordering Party.17) In The Event Of Exceeding The Contractual Capacity At Gas Collection Points Specified In Annex No. 6 To The Swz, The Ordering Party Agrees To Charge An Exceedance Fee Calculated In Accordance With The Rules Contained In The Operators Tariff, Fees For The Ordering Partys Failure To Comply With The Restrictions Introduced By The Distribution System Operator, And Other Fees Set In Operators Tariff, Instructions For Operation And Operation Of The Distribution Network (Hereinafter Referred To As Iriesd), In Accordance With The Principles Arising From The Operators Tariff, Iriesd.18) The List Of Gas Collection Points Is Attached As Annex No. 2 To Swz.20) The Ordering Party Allows The Possibility Of Concluding An Agreement By Correspondence.21) The Ordering Party Does Not Allow The Submission Of Partial Offers, Does Not Allow Variant Offers And Does Not Provide For The Possibility Of Concluding A Framework Agreement. 22) The Contractor Should Sign And Complete The Offer Form Constituting Annex No. 1 And 1A To The Swz, Together With Annexes Or Submit An Offer Corresponding To Their Content.23) The Contractor Must Attach To The Offer All Documents, Declarations And Attachments Presented In The Swz.24) Original Swz Signed On Behalf Of The Ordering Party By Authorized Persons, Constituting The Basis For Resolving Any Disputes Related To The Content Of This Document, Is Available In Paper Form At The Ordering Partys Registered Office.25) The Ordering Party Will Itself Control The Value Of The Contract. The Ordering Party Will Pay For The Actual Consumption Of Gas Fuel.
