The Purpose Of The Tender Is To Establish A Framework Agreement For The Provision Of Legal Services In Connection With The States Company Projects. Company Projects Are Understood As Company Law, Transactional And/Or Owner-Related Tasks And Related Projects Relating To Companies, Partnerships And Public Companies, Including Investments, Purchase And Sale Of Companies (M&A), Capital Increases As Well As General Advice And Assistance In The States Management Of Ownership In Existing Companies, Partnerships And Public Companies With A State Ownership Or Interest Share, As Well As Potentially Future New Companies, Partnerships And Public Companies With A State Ownership Share Or Interest Share. This Includes Both Minority- And Majority-Owned Companies, State-Owned Interests As Well As Listed Companies. The Framework Agreement Must Ensure Access To Legal Advice And Assistance In The Following Areas Of Law In Connection With A Company Project: Primary Areas Of Law: 1) Company Law And Corporate Governance, 2) M&A, Transactions And Due Diligence, 3) Capital Relations And Financing, 4) Competition And Merger Control Law, 5) Capital Market Law And Stock Exchange Law, 6) Contract Law And Commercial Agreements, 7) Insolvency, Reconstruction And Distressed Companies, Secondary Areas Of Law: 8) State Aid Law, 9) Tax, Vat And Charges, 10) Disputes, Responsibility And Conflict Resolution, 11) Fdi Screening 12) Executive Pay Packages, Including Incentive Schemes. The Framework Agreement Is Awarded To Up To 3 Suppliers, And The Awarding Of Specific Consultancy Tasks Is Done By Mini-Tendering. A Framework Agreement Is Entered Into With Each Supplier. In Addition To The Ministry Of Finance, The Framework Agreements Can Also Be Used By Other Units In The Danish State. In This Context, The Danish State Includes Ministries, Agencies, Directorates, Councils And Boards. The Framework Agreements Are Non-Exclusive. The Customer Is Not Obliged To Exclusively Use The Concluded Framework Agreements And Is Thus I.A. Entitled To Use The Bar Association Agreement And To Undertake The Performance Of The Services Themselves. The Suppliers Are Not Guaranteed Any Minimum Turnover.
