Expression of Interest for Legal Consultant for Rio Metropolitan Mobility Project The State of Rio de Janeiro has mandated IFC as lead advisor for the structuring of 2 long-term urban mobility concessions in the metropolitan region of Rio de Janeiro, in contexts marked by terminated or annulled prior delegations, inherited litigation and transitional contracts now in force. The Consultant will deliver a single legal front covering both transactions under structuring, across a Program organized in three phases over an estimated 16 months. Phase 1 - Diagnosis (4 months). Legal and asset due diligence of the services and of the assets bound to their provision: review of prior and current instruments as to term, termination, reversibility, indemnification criteria, rebalancing mechanisms, risk allocation, remuneration and investment and performance obligations; identification of obsolete clauses, gaps and inconsistencies; assessment of inherited liabilities and litigation of an asset, labor, tax, civil and environmental nature, and of the extent of any succession of obligations; asset due diligence validating the asset baseline and distinguishing reversible assets, assets bound to the service and freely disposable assets; treatment of investments made under the transitional contracts and of any unamortized balance; and legal framing of the delegation alternatives under the applicable federal and state legislation. Output includes the Legal memorandum mapping and assessing project risks. Phase 2 - Transaction structuring (6 months). Support to IFC in defining the treatment of reversible assets and indemnification criteria on the basis of the engineering quantification; draft term sheet for the documentation, including recommendations on auction structure, award criteria and qualification requirements, consolidated risk matrix and rebalancing mechanisms, structuring of public guarantees; taxonomy and treatment of ancillary revenues; and the draft bid documents (notice, contract and annexes) in Portuguese and English for public consultation, incorporating the institutional and tariff recommendations. Phase 3 - Implementation (6 months). Legal support during public consultation and hearings and in interaction with public bodies and control institutions; final bid documents for publication; support throughout the tender, including administrative disputes.
