Tenders are invited for Strategic Transformation Consultant Closing Date: Thursday, 10. Sep 2026 Intervention Sector(s): Trade & Finance Remuneration range: > 6000 (USD) Duration of Contract: 12 to 18 Months The primary objective of this assignment is to retain a Strategic Transformation Consultant to act as the central orchestrator and Lead Consolidator for Al Majmouas institutional transition into a regulated financial company. The Consultant is expected to bring deep-rooted expertise in the Lebanese regulatory environment, together with an established network within the BdL, to guide Al Majmoua through the licensing application and institutional restructuring phases. The Consultant will initially establish the master transformation roadmap and subsequently serve as the central point of integrationcoordinating, updating, and harmonizing the roadmap as specialized inputs from legal, tax, compliance, and branding advisors become available. Ultimately, the Consultant will consolidate these efforts into a single, cohesive institutional package to successfully secure the BdL license pursuant to Decision No. 13819, while supporting management through the change process. Scope of Services The Strategic Transformation Consultant serves as the Lead Consolidator and project manager for the transformation process. The Consultant will coordinate all activities of the transformation and will be responsible for coordinating the onboarding, inputs, and integration of external technical and advisory assistance. While specialized legal, tax, compliance, and financial modeling advisors provide technical inputs, this Consultant owns the operational orchestration, schedules underlying activities, and maintains the master roadmap for the entire institution. Use of Specialist Sub-consultants:In its capacity as Lead Consolidator, the Consultant may engage or subcontract specialized professionals or firms to carry out tasks requiring specific technical qualifications or regulatory standing for example, coordinating with a qualified audit or consultancy firm for the Business Plan and stress-test assessment, or engaging IT, information-security specialists, or licensed security and facility engineers. The Consultant remains fully responsible for coordinating, integrating, and quality-assuring all subcontracted work within the consolidated deliverables, and for ensuring that any engaged firm or professional meets the qualification and independence requirements of the BdL and applicable regulations. Subcontracting arrangements shall be disclosed to and agreed with Al Majmoua in advance. The consultant will work on different components: Institutional Consolidation & Planning: To revise existing blueprint of the transformation roadmap and reflect required updates. Conduct an introductory workshop with management to align on the transformation process and timeline based on the updated roadmap. Develop and maintain the Master Operational Plan, integrating the detailed roadmaps and timelines from all project components (Legal, Tax, Regulatory, HR, IT). Take lead on collecting all the required Licensing Documents as requested in Annex 2 of BdL Basic Decision No. 13819 of 21 May 2026 (Listed in this ToR under Annex 1). Review, validate, and endorse the Business Plan including the financial projections and simulations prepared by the engaged international firm acting in the capacity of the audit or consultancy firm required under Basic Decision No. 13819 (Annex 3), and sign off on the Plan to formally attest to the BdL that it meets the requisite scientific and technical rigor Review all licensing documentation from a regulators lens to ensure the narrative and technical details align with the BdLs current priorities and standards. Provide technical guidance, review, and inputs for the official BDL licensing application letter drafted by Legal Counsel. Assist Al Majmoua in formulating scopes of work, terms of reference, and contract outlines for upcoming specialized consultants or firms (such as the valuation advisors, tax advisors, and branding agency). Assemble necessary institutional background information and provide initial briefs to incoming advisory teams to accelerate their deployment. Review incoming technical assistance implementation reports to ensure quality control, compliance with contracts, and the smooth transfer and integration of knowledge into Al Majmouas management workflows. Schedule and align underlying activities of parallel consultancies to ensure their outputs are delivered in the precise sequence required by the Master Operational Plan. 2 Operational migration & governance Provide expert interpretation of relevant BdL Basic and Intermediate Circulars affecting the transformation and the new entitys future operations. Advise and support Al Majmoua, in coordination with Legal Counsel, on their decision regarding Licensing category (A,B or C) Advise on the final governance structure for both the NGO and the new JSC, providing the organizational set-up, new positions, and reporting lines. Guide the transfer of rights and obligations to the new entity (including contracts, assets, liabilities, staff, bank accounts and other) Review and report on gaps between BdL requirements and all company policies falling outside the scope of the independent compliance audit, ensuring no regulatory gap is left unaddressed across the institution. Guide the leadership team on the informal procedures, timelines, and follow-up protocols required to move the licensing application through the various stages of BdL approval. Anticipate potential regulatory bottlenecks in the licensing process and provide proactive recommendations to address them before they cause delay. 3 Facilities Management Develop actionable branch setup recommendations and detailed technical specifications for necessary security and facility enhancements (e.g., CCTV, access control, and fire safety), ensuring full compliance with BdL standards while providing clear documentation for upcoming procurement processes. Branch and affiliated-office network strategy: Advise on the optimal distribution footprint for the regulated entity determining which of Al Majmouas existing offices should be licensed as branches and which may operate as affiliated offices. The resulting network plan shall be aligned with the Facilities Management assessment and reflected in the final organizational footprint strategy. Branch-by-branch condition assessment covering physical infrastructure, layout suitability for NBFI operations (e.g., separation of front/back office, client-facing areas, cash handling zones where applicable), and accessibility. Review current facility management policy and recommend adjustments of SOP elements for the regulated entity (e.g., physical security policy, branch opening checklist, incident reporting for facility-related events). 4 Risk & Audit Committee Support: Strengthen the Risk Management, Internal Audit and Compliance functions by supporting the establishment of respective committees (e.g., risk, audit, compliance) and revising job descriptions to meet regulatory expectations. Coordinate and facilitate regular transformation committee meetings to ensure they are held as scheduled, maintaining clear communication lines across all internal and external stakeholders. Capacity Building& Training Develop and deliver foundational training presenting the BDL regulatory landscape for all levels of the organization. Developing tailored curricula covering priority areas such as KYC, AML/CFT, risk management, internal audit, and regulatory reporting. Provide targeted briefings on specific FI compliance subjects, corporate governance, and risk awareness required for the transformation. Conduct targeted training for staff on the revised risk, audit, and compliance functions following the audit remediation. Provide any post-transformation support, if needed.
