Tenders are invited for Legal Counsel Cogny Closing Date: Sunday, 30. Aug 2026 Intervention Sector(s): Law & Legal Affairs Remuneration range: 4000 to 5000 (USD) Duration of Contract: 3 Months The selected legal counsel will support Cogny in the following areas: Delaware Incorporation The lawyer will advise on and manage the incorporation of Cogny as a Delaware company, including: Recommending the appropriate corporate structure; Completing the Delaware incorporation process; Preparing the principal corporate and founder documents; Advising on founder equity, governance, share allocation, and intellectual-property assignment; Supporting the company with the legal requirements associated with operating a U.S. entity; and Ensuring that the structure is suitable for future fundraising, partnerships, grants, and international expansion. The lawyer should have prior experience incorporating startups in Delaware, preferably Delaware C-Corporations intended to raise external investment. Trademark Registration The lawyer will support Cogny in protecting its brand, including: Conducting or coordinating an appropriate trademark search; Assessing the registrability and potential legal risks associated with the proposed trademark; Preparing and filing the trademark application; Advising on the appropriate trademark classes and jurisdictions; Responding to any questions or objections raised during the registration process; and Advising on the future international protection of the brand. Experience with United States trademark applications and cross-border trademark strategy is required. Patent and AUB Technology-Transfier Negotiations The lawyer will advise and represent Cogny in discussions with the American University of Beirut concerning the patenting and commercialization of the technology. The lawyer will be expected to: Review AUBs applicable intellectual-property, invention, patent, and technology-transfer rules; Review any relevant agreements signed by the founders, researchers, students, principal investigators, or other contributors; Assess the respective intellectual-property rights of Cogny, its founders, AUB, and any other involved parties; Advise on inventorship, ownership, patent filing, commercialization rights, and the use of technology developed in connection with AUB; Participate in meetings and negotiations with AUBs patent, research, technology-transfer, or legal representatives; Review and negotiate any proposed patent assignment, licence, revenue-sharing, royalty, equity, or commercialization agreement; Protect Cognys ability to use, develop, improve, commercialize, license, and raise investment around the technology; and Seek the most commercially favourable and legally defensible arrangement available to Cogny. The lawyer should not act only as a document reviewer. The role requires active representation and negotiation in order to protect Cognys long-term commercial and intellectual-property interests. Required Experience The ideal candidate should have: Demonstrated experience in intellectual-property and patent-related matters; Experience with university-owned or university-associated inventions; Experience negotiating technology-transfer, patent-licensing, or commercialization agreements; Experience advising early-stage or venture-backed startups; Familiarity with Delaware corporate law and startup incorporation; Understanding of deep-technology businesses involving medical devices, neurotechnology, biotechnology, artificial intelligence, software, hardware, sensors, or clinical research; The ability to understand complex technical concepts and translate them into appropriate legal protections; Strong negotiation and contract-drafting skills; Experience working across more than one jurisdiction or coordinating with foreign counsel; and The ability to communicate clearly with founders, researchers, university representatives, investors, and technical specialists. Prefierred Background Preference will be given to a lawyer or firm that has previously worked with: University spin-offs; Medical-device, biotechnology, neurotechnology, or healthcare startups; Patent offices or university technology-transfer offices; Research institutions and academic investigators; U.S. startup incorporation and international founders; and Intellectual-property arrangements involving a combination of software, hardware, clinical research, and proprietary data.
