SCOPE OF WORK: The scope of work for the services includes, but is not limited to, the Supply of Subsea Intervention Vessel with DP2 system, certified to an appropriate classification society, with the following capabilities: Provision of equipment, underwater intervention and engineering services as specified herein. Provision of Crewed Intervention vessel with Heave compensated crane for IRM, Light construction support (Including running Subsea Christmas Trees), and Intervention into subsea facilities (including trees, manifolds, flowlines, jumpers, etc.). Intervention activities may include pumping of acid into subsea facilities, scale squeeze jobs, hydrate remediation, and installation and replacement of subsea equipment. Operational support to Agbami FPSO Provision of Work Class ROVs Engineering Services for Subsea Integrity Management Equipment Criticality Assessment Subsea Inspection Planning and Scheduling Subsea Equipment Integrity Assessment Design and fabrication of Subsea tooling and equipment in support of IRM, Light construction, and Intervention activities as described above. Provision of qualified crew/personnel to operate the Equipment and perform the service. 1x Electro Hydraulic knuckle arm with ISO Ton capacity at 2000m water depth, over 20% over-pull capacity; Heave Compensated, direct communications link to bridge and Remote Operated Vehicle (ROV) control room. 1x Electrohydraulic knuckle arm with 20T capacity at 2000m water depth, over 20% over-pull capacity, Active Heave Compensated (+/- 2.0 2.5 Hs @ 8s), direct communications link to bridge and ROV control room. Maintenance of company provided ROV tooling and Running Equipment The WORK that the CONTRACTOR will be required to carry out will include but is not limited to Light construction support, Intervention into subsea facilities, routine and non-routine Inspection, Repair and Maintenance of facilities installed in fields operated within Nigerian waters by the COMPANY. The work will be scheduled and planned whenever possible. Unplanned interventions will be accommodated on a prioritized basis. It is the intention to identify annual work scopes from IRM, subsea construction and Intervention activities to CONTRACTOR annually. This will allow the planning and scheduling of the intervention vessel with the optimum efficiency and potentially allow for the sharing of the intervention vessel with other operating companies in the West African operational areas. During periods when the vessel is assigned to another operating company, all associated intervention vessel costs shall be billed by vessel owner to vessel assignee for the period of the vessel assignment. The Contractor will be required to oversee, co-ordinate, plan and schedule all the work, in conjunction with the Company. The Contractor will be required to appoint a Project Manager, who shall, at the Companys discretion attend regular co-ordination meetings between the Company and the Contractor. The Contractor shall dedicate a Project Team defined as Onshore Project Support Team to the Contract. The Project Manager shall lead the Project Team. The Contractor shall provide a reliable Company compatible electronic mail service between the Company, the Contractor and the Worksite. The Contractor shall provide and host an extranet platform for storing and sharing Company information for example, drawings, photographs, asset information etc. The extranet will also be used to conduct all aspects of the Work process and be used as a project management tool to assist in the achievement of the deliverables listed under Appendix D The Contractor shall conduct the Work from offices and warehousing facilities in the Lagos area. Contractor may have need on some occasions to move equipment via Onne Port to the area. Contractor should factor this into their planning for execution of the requested subsea construction, intervention and/or IRM work scopes. The Contractor will be required, on completion of any offshore activity, to provide to the Company, within reasonable time from completion of the appropriate work a close-out report detailing the WORK carried out and containing data pertaining to the work such as as-built drawings, charts or inspection data in the form of electronic or paper data that has been checked for Quality. Company shall provide the format for the report. The WORK defined shall not be considered complete until Company takes delivery of, and formally accepts, the closeout report. Contractor will not submit invoice until close out report has been delivered to Company. Provision of flotel services for a minimum of 80 company personnel working offshore on the FPSO and other locations within the Agbami field. Transfer of the same personnel to and from the FPSO or other vessels in the field. Occasional transportation of the personnel to and from the Onne Port at port call opportunities. Vessel should be capable of receiving and utilizing the companys EGTL diesel for running their engines. Distribution of the EGTL diesel fuel to the FPSO and other vessels in bunkering operations. This EGTL diesel fuel may be received from Onne Port, from other vessels, from the companys EGTL or other sources as company may arrange. Distribution of fresh water to the FPSO and other vessels. This may be water from the vessel water maker or as received from other vessels or from the Onne port. Additionally, contractor will have the capability to support marine inspection repair and maintenance activities on all subsea hull moorings, oil offloading lines and production equipment. Where anomalies are identified, Subsea Engineering support shall be able to assess the activities and procedures to safely and efficiently repair all subsea equipment. This excludes wellbore intervention. Engineering support shall also be capable of defining and executing construction support activities for new Christmas tree installations as well as flexible jumpers to tie back to manifolds. Contractor will be required to have proven Simultaneous Operations experience. 3. MANDATORY TENDER REQUIREMENTS: A. NIGERIAN CONTENT: SDWPL is committed to the development of the Nigerian Oil and Gas business in observance with the Nigerian Oil and Gas Industry Content Development Act 2010 (NOGICD Act) enacted by the Federal Government of Nigeria in April 2010. Pursuant to the NOGICD Act, the minimum Nigerian Content in any project, service or product specification to be executed in the Nigerian Oil and Gas Industry shall be consistent with the level set in the schedule of the NOGICD Act and any other target as may be directed by the Nigerian Content Development and Monitoring Board (NCDMB). Contractors are required to comply with the provisions of the NOGICD Act and all applicable regulations. In line with the NOGICD Act, 2010 and its provisions to give full and fair opportunities to Nigerian Indigenous companies in all bidding process, Nigerian owned vessels yet to be equipped with the heave compensated crane and/or any upgradeable equipment onboard vessels shall not be out-rightly disqualified during the bidding process provided the vessel owners commit to upgrade such vessels with heave compensated cranes as well as any other fit for purpose equipment in the event of being successful as the preferred bidder. The following are the Nigerian Content requirements bidders are expected to comply with in their technical bid submission. a. Tenderer shall demonstrate that entity is a Nigerian-registered company with 51% or more shareholding capacity. Submit certified true copies of CAC forms 10, 02 & 07 (or its equivalent; CAC 2.3, 2.4, 2.5, etc.). Tenderer shall provide evidence of registration with the NCDMB NOGIC JQS and NUPRC. b. Tenderer shall demonstrate detailed description of the location of in-country committed facilities & infrastructure (not limited to administrative office, project management office) in Nigeria to support this contract. c.
