The Subject Of The Public Contract Is The Implementation Of A Complex Contractual And Economic Model, The Purpose Of Which Is To Enable The Creation And Implementation Of The Development Project Of A Multifunctional Building On The Park Land. No. St. 1/1 And Parc. No. 6973, Both In The Municipal Office Of Zlín, While Maintaining The Principals Decisive Influence On The Basic Form, Function And Parameters Of The Future Building And At The Same Time Ensuring The Possibility Of Future Acquisition Of Part Of The Non-Residential Premises By The Principal. The Subject Of The Public Contract Therefore Includes In Particular: A) The Establishment Of The Construction Right To The Affected Land In Favor Of The Selected Contractor For The Period Specified In The Business Terms And Conditions, B) The Project Preparation And Implementation Of The Building Plan By The Selected Contractor In Accordance With The Binding Requirements Of The Contracting Authority And The Contractual Documentation, C) The Fulfillment Of The Agreed Material And Time Milestones Of The Project, D) The Future Transfer Of The Affected Land From The Ownership Of The Contracting Authority To The Ownership Of The Selected Contractor Under The Conditions Set Out In The Business Conditions, E) The Establishment And Preservation The Contracting Authoritys Option Right To The Future Acquisition Of A Defined Part Of The Non-Residential Premises In The Newly Created Building, F) Providing All The Cooperation Necessary To Fulfill The Aforementioned Contractual Model. Part Of The Subject Of The Public Contract Is Therefore Not Only The Construction Of The Future Building Itself, But Also The Related Property Law And Liability Arrangement, Without Which The Implementation Of The Requested Project Would Not Be Possible. The Client Explicitly States That The Establishment Of The Building Right And The Future Transfer Of Land Are Not Separate Goals Within This Public Contract, But Represent Legal Instruments Enabling The Implementation Of The Building According To The Clients Requirements And At The Same Time Ensuring The Future Property Status Of The Client Within The Resulting Construction. The Future Object Will Be Built On The Above-Mentioned Plots At Its Own Expense And Under The Responsibility Of The Selected Supplier, But In Compliance With The Binding Requirements Of The Contracting Authority Defined In The Tender Documentation, Especially In Annex No. 1 – Business Conditions. The Transfer Of These Plots Of Land From The Contracting Authority To The Supplier Is Part Of A Complex Binding Legal Relationship Between The Contracting Authority And The Contractor, Which Will Be The Result Of This Public Contract. The Economic Structure Of The Public Contract Is Based On The Fact That Part Of The Value Of The Transaction Is The Payment For The Establishment Of The Right To Build, And Part Of The Value Of The Transaction Is The Purchase Price For The Future Transfer Of Land, While On The Side Of The Contracting Authority, At The Same Time, The Possibility Of Future Acquisition Of Part Of The Non-Residential Premises In The Realized Object Arises.
