Expression of Interest for Financial Advisor to the TFIF The Tropical Forest Forever Facility (TFFF) is a multilateral initiative co-led by the governments of Brazil and Norway to protect tropical rainforests globally. The TFFF was launched at COP30 in Belém in November 2025 and aims to provide annual remuneration to standing rainforests for their biodiversity and ecosystem services, in the form of performance-based payments. At the core of the initiative is the Tropical Forest Investment Fund (TFIF), a structured fund with a planned volume of up to USD 125 billion. Up to USD 25 billion are expected to be raised as a first-loss (junior) tranche from public donors/investors and philanthropic actors. To date, pledges of approximately USD 6.7 billion to the junior tranche have been made by several sovereign sponsors and philanthropic partners. The junior tranche is proposed to mobilize up to USD 100 billion in private capital from institutional investors in the senior tranche. The TFIF will invest the proceeds raised through the senior and junior tranches in global capital markets. The excess returns generated will be transferred to eligible Tropical Forest Countries (TFCs) via the TFFF and also used, inter alia, to build an equity buffer within the TFIF that supports permanent operation of the TFIF. The TFFF aims to pay up to USD 4 per hectare of tropical forest annually as a grant to TFCs. Monitoring of forest cover and performance will be carried out by the TFFF using remote sensing, which provides the basis for determining the payments. At least 20% of the funds must be channelled directly to Indigenous Peoples and Local Communities. The TFIF is currently governed by a Transition Committee (TC) composed of representatives of the sponsoring countries. The TC aims to make the TFIF fully operational by the first half of 2027. During the preparatory phase, the TC has engaged certain independent consultants and boutique advisory firms to support financial modelling, fundraising, and organizational set-up. Of special priority is to stress-test the financial model to identify what returns the financial model can deliver at an acceptable risk for the sponsor countries. Building on this progress, the TC now seeks highly professional and integrated financial advisory support to: validate and further develop the existing financial model, refine and compare structuring options, and, if the TC considers it useful, to also: assess investor perspectives and market appetite, support the design of the governance and operating model, prepare for the selection of key service providers, including the Fund Manager / Lead Asset Manager, and help represent the TFIF in public and stakeholder-facing contexts, including through investor outreach, dialogue with partner governments and institutions, and relevant international fora.
