Publication Date: 07/15/2026 12:00 AM EDT EOI Deadline: 07/30/2026 11:59 PM EDT Description: Engagement of a firm specialized in natural gas economic regulation to support the structuring project led by IFC for the Government of the State of Rio de Janeiro, covering the CEG and CEG Rio concessions, across all three phases and under both scenarios (renewal or re-tendering). Phase 1 - Tariff & Regulatory Diagnostic: mapping of the concession areas (CEGs mature/dense market vs. CEG Rios expansion/greenfield profile); audit of the customer base by segment and estimation of suppressed and potential demand; critical diagnostic of the past ten years of tariff evolution; a new tariff calculation methodology with explicit component breakdown and segment classification (including social tariff and biomethane); price parity simulations (10- and 20-year horizons); an economic-regulatory asset valuation methodology (Corrected Historical Cost vs. New Replacement Value) and structuring of the initial Regulatory Asset Base (RAB); and a preliminary quantification of indemnification under Article 36 of Law No. 8,987/1995. Phase 2 - Transaction Structuring (scope may vary with the Phase 1 outcome): demand projections under three scenarios (10/20/30-year horizons, by segment and area); expansion feasibility analysis by area and segment (unit costs, penetration curves, payback/IRR, tariff impact); contractual structuring of recommended parameters (expansion and penetration targets, AGENERSA-monitored KPIs, revision triggers); and an inventory of information gaps and complementary studies required. Phase 3 - Transaction Implementation: implementation of the selected structure following GovRJ approval - public consultation and hearings, TCE review where applicable, finalization of transaction documents, national and international roadshows, and support throughout the bidding process or the renewal negotiation - up to commercial close, which marks the successful completion of the phase. The deliverables will serve as strategic inputs for financial modeling, contractual restructuring, and the calibration of network expansion targets.
