The Client Makes The Following Changes Compared To The Original Notice With Number 222403-2025. The Subject Of The Tender Is The Lease, Operation And Modernization Of The Cassiopeia Therme In Badenweiler. The State Of Baden-Württemberg, Represented By The Baden-Württemberg Ministry Of Finance (Client), Intends To Find A Qualified Operator With Many Years Of Experience Who Will Recognize The Historical And Cultural Significance Of The Cassiopeia Therme, Preserve It And Further Develop It In An Economic, Sustainable And Future-Proof Manner. The Cassiopeia Therme In Badenweiler Has Been Ready For Renovation For A Long Time. Significant Investments Are Necessary In The Existing Building In Order To Preserve The Historical Substance For Future Generations And At The Same Time To Make The Thermal Spa Sustainable And Attractive For The Future. According To The Current Status, The Contract Model Is Based On The Following Key Points: The Contractor Must Modernize The Cassiopeia Therme Based On His Structural Concept, The Specifications Of The Bkv And The Legal And Official Requirements (Especially Monument Protection). In Addition, The Goals Of The Energy And Climate Protection Concept For State Properties 2030 From June 20, 2023 Should Be Taken Into Account. The Contractor Assumes The Construction Risks, In Particular Regarding The Building Site And The Condition Of The Existing Buildings. The Contractor Is Also Obliged To Operate The Cassiopeia Therme In Accordance With The Specifications Of His Operational Concept And The Specifications Of The Bkv. The Contractor Operates The Cassiopeia Therme At His Own Risk. The Contractor Pays A Rent To The Client Or Receives A Subsidy From Him (If It Is A Negative Rent). If Applicable. He Receives A One-Off Construction Cost Subsidy. The Grants Are Not Grants Within The Meaning Of Sections 23 And 24 Lho Bw. In Addition, The Contractor Generally Receives The Visitor Income. The Client Will Specify The Exact Scope Of The Leased Land And Buildings Or Facilities As Well As The Operators Obligations In The Negotiation Process. Staatsbad Badenweiler Gmbh (Sbg), A 100% Subsidiary Of Bkv- Bäder- Und Kurverwaltung Baden-Württemberg Aör (Bkv), Currently Operates The Cassiopeia Therme. The Bkv Is 100% Funded By The State Of Baden-Württemberg. According To The Current Status, The Winning Bidder Will Not Lease The Cassiopeia Therme Himself, But Rather Through The Sbg, Which He Will Acquire. For This Purpose, The Winning Bidder Will Conclude A Separate Share Purchase Agreement With Bkv. The Aim Of This Procedure Is To (Partially) Preserve The Loss Carryforward That Exists At Sbg. The Client Reserves The Right, During The Course Of The Procedure, To Refrain From Selling The Sbg Shares By Bkv To The Winning Bidder And To Conclude The Lease Agreement Directly With The Bidder.
