Quotation are invited for Legal Support for Elevate Companies Program of Gaza Sky Geeks - Mercy Corps. Service Location: Ramallah 1. Program Background Gaza Sky Geeks (GSG), established in 2011 by Mercy Corps with support from Google for startups, with a mission to foster sustainable and inclusive tech-enabled economic development in Palestine. By delivering an integrated approach of developing the capacity of tech services companies and increasing access to markets and providing large-scale training in specialized tech skills, GSG aims to grow the competitiveness of the Palestinian tech sector in the global market. Under the Elevate Program, GSG provides targeted support to Palestinian tech companies to help them grow, strengthen their operations, and expand their access to international markets. As part of the Market Access intervention, legal support is provided to selected companies to help them strengthen their legal readiness and support their international expansion efforts. Following the completion of a legal assessment for ten companies, six companies were selected to receive tailored legal advisory and international company registration support. 2. Purpose GSG is seeking to contract a legal firm to provide legal advisory and support services to selected companies under the Legal Support sub-intervention of the Market Access intervention within the Elevate Program. A legal assessment has already been conducted for ten companies to evaluate their legal and business readiness and identify their key legal needs and priorities. Based on the legal assessment conducted, all ten companies will receive legal support aimed at strengthening their internal legal frameworks and addressing identified legal gaps. Internal Legal Readiness Support The legal firm will provide legal advisory services to strengthen the companies internal legal frameworks and address identified legal gaps. Services may include, but are not limited to: Reviewing existing legal documents and identifying areas requiring improvement. Drafting, reviewing, revising, and/or updating legal documents and agreements, including NDAs, employment contracts, service agreements, partnership agreements, corporate governance documents, and other legal instruments, as needed. Providing guidance on corporate governance, compliance, and legal best practices. Addressing company-specific legal needs through ongoing legal consultations and advisory support throughout the implementation period. Supporting companies in improving their legal readiness and ensuring that internal documentation and policies are aligned with their operational and business requirements. 3. Scope of Services The legal firm will be responsible for: Reviewing the legal assessment reports and recommendations developed for the selected companies and familiarizing itself with the identified legal needs and priorities. Conducting meetings with participating companies to validate needs, clarify priorities, and define the most appropriate legal support approach. Providing legal advisory and guidance on corporate structuring, governance, compliance, and other legal matters relevant to the companies business models and operations. Reviewing, drafting, and/or revising legal documents and agreements required to address identified legal gaps and support business operations. Providing ongoing legal consultations and advisory support to address company-specific legal needs and ensure the implementation of legal best practices. 4. Deliverables The legal firm shall be responsible for delivering the following outputs throughout the assignment: Conduct consultation meetings with the selected companies between July 26 and July 30 to validate their legal needs, priorities, and registration objectives. The firm shall submit meeting recordings and minutes (MoMs) for review and approval by the Program Coordinator. Provide legal advisory services between August 2 and August 17, including reviewing, drafting, and/or revising all legal documents and agreements required to address the legal gaps identified during the assessment. Deliverables shall include the finalized legal documents, agreements, and legal advisory notes, subject to review and approval by the Program Coordinator. Submit all final deliverables by September 3, including the complete set of finalized legal documents, supporting evidence confirming that all identified legal actions have been completed (as applicable), and the consultants timesheet. All final deliverables shall be submitted to the Program Coordinator for review and approval. 5. Submission 5.1 Executive Summary Provide a brief overview of your organization and include in this a statement which supports your suitability for the role, what makes your organization stand out from your competitors, and any additional benefits GSG could realize by contracting your services. Maximum one (1) page on your organizations letterhead. 5.2 Cover letter, CVs, Company profile Please submit a cover letter expressing your interest in this assignment, along with a company profile outlining your organizations background, areas of expertise, and relevant experience in providing legal advisory services. 5.3 Evaluation Criteria - Document reflecting Relevant Experience in Legal Advisory Services for SMEs and technology companies and Experience in Corporate Structuring, Governance, Compliance, and International Business Registration: 40% - Qualifications and Experience of Key Personnel Assigned to the Assignment: 20% - References and Past Performance on Similar Assignments: 10% - Financial Offer: 30% 5.4 Fees Financial Offer - See the Price Offer Template 6. Payment Process 20% of the total payment will be paid in advance to the beginning of the project. 30% of the remaining payment will be paid after Deliverables 1 and 2 are complete. The remaining 50% of the payment will be processed once all deliverables are met and the last phase is completed.
