Repair And Maintenance Services Of Machinery - Inspections Of The Downhore Equipment Of Manufacturing Cells In Kpmg Mogilno And Kpmg Kosakowo. The Subject Of The Order Are Services Of Performing Downhole Inspections Of Drilling Equipment In Production Chambers In Cavern Underground Gas Storage Facilities: Kpmg Mogilno (Palędzie Dolne, 88-300 Mogilno) And Kpmg Kosakowo (Ul. Rumska 28; 81-198 Dębogórze), Hereinafter Referred To As The Subject Of The Order. The Performance Of Individual Services Covered By The Subject Of The Order Will Be Entrusted To The Contractor On The Terms Described In The Draft Contract Constituting Annex No. 7 To The Swz, With The Following: 1 The Basic And Guaranteed Scope Of Services To Be Performed Under The Subject Of The Order Will Be Basic Works In The Scope Of Planned Activities Related To Planned And Preventive Operation For The Following Tasks: A) Periodic Inspections (Preventive Maintenance), B) Inspection And Assessment Of The Technical Condition, C) As-Built Documentation (Acceptance Documentation) For The Activities Referred To In Point A And B. 2 In Addition, The Ordering Party Provides For The Possibility Of Exercising The Option Right In Accordance With The Following Rules: 1) The Option Right Consists In Increasing The Subject Of The Order By The So-Called Additional Works, I.E. Unplanned Activities Of An Interventional / Non-Standard Nature, Including: A) Non-Standard Services Specified In The Table In Point 3.2.1 Of The Sopz - In This Case, The Ordering Party Will Exercise The Option Right In The Event Of Needs Resulting From The Recommendations After The Inspection And Identified Malfunctions And Damages; B) Repairs Of The Downhole Safety Valve (Including Replacement Of Parts And Components) In Accordance With The Scope Of Tasks Specified In The Table In Point 3.2.2 Of The Sopz - In This Case, The Ordering Party Will Exercise The Right Of Option In The Event Of Equipment Failure; C) Installation And Disassembly Of Mechanical Downhole Plugs In The Well In Accordance With The Scope Of Tasks Specified In The Tables In Point 3.2.3 Of The Sopz - In This Case, The Ordering Party Will Exercise The Option Right In The Event Of Undertaking Intervention Works Related To The Replacement Of Surface Utilities Or Tightness Tests Of The Production Column, 2) The Value Of The Services Covered By The Option Right Will Be Determined By The Price Form Constituting Annex No. 3 To The Swz; 3) The Contractor Will Complete The Order Covered By The Option Right Within The Term Of The Contract Under The Conditions Specified In This Tor And The Concluded Contract; 4) The Condition For Triggering The Option Right Is The Submission By The Ordering Party Of A Declaration Of Will - An Order Referred To In Point 5.2 Of The Swz, To The Extent Specified In Point 1) Above; Such An Order May Be Placed At Any Time During The Contract Period; 5) Exercising The Option Right Does Not Constitute An Amendment To The Contract; 6) An Order Covered By The Option Right Is The Right Of The Ordering Party And Does Not Constitute An Obligation Of The Ordering Party To Grant It, And Does Not Constitute A Basis For The Contractor To Pursue Claims For Compensation For Failure To Complete This Order, Including A Claim For Lost Profits; 7) Failure By The Ordering Party To Submit A Declaration On The Exercise Of The Option Right Or To Place An Order Under The Option Right, To An Extent Less Than The Maximum Level Of The Option Right, Means The Ordering Partys Resignation From
