Expression of Interest for Consulting Services Modernization of the Multipurpose and Container Terminal The African Development Bank (AfDB) hereby invites qualified consultancy firms to indicate their interest in the following assignment: Lenders Tax and Accounting Advisor (TAA) Services for the Modernization of the Multipurpose and Container Terminal at the Port of Luanda. The Project will be implemented by a Special Purpose Vehicle (SPV, or the Borrower), a consortium of African and international partners, which has entered into a 20-year concession agreement (extendable by an additional 10 years) with the Government of Angola to rehabilitate, modernize, and operate the Multipurpose and Container Terminal at the Port of Luanda. The AfDB, acting as Mandated Lead Arranger (MLA), will partially finance the Project and mobilize additional debt financing from other lenders. To support the Bank and co-lenders in their tax and accounting due diligence, AfDB intends to appoint an independent Lenders Tax and Accounting Advisor (TAA). The appointed firm will report directly to AfDB, while owing a duty of care to all participating lenders. 2. Objective of the Assignment The Tax and Accounting Advisor (TAA) will provide an independent review and assessment of the Projects tax structure, accounting treatment, and related financial reporting assumptions to support lenders due diligence throughout appraisal and financial close.
