Tenders are invited for Governance For Scaling Consultancy - ScaleSmart Context & Background Berytech is a leading organization in the Entrepreneurial Ecosystem in Lebanon, that aims to provide a conducive environment for the creation and development of startups, through incubation, business support, counseling, funding, networking, and the company hosting, hence taking part in the economic revival of the country, participating in wealth and job creation, and retaining graduates and high-level skills in Lebanon. The ScaleSmart program aims to support pre-seed or seed startups working in different sectors to scale up by equipping them with the knowledge and tools necessary to plan a solid fundraising path, matching them with investors and investment opportunities, and improving their chances of successfully raising funds. Scope of work The ScaleSmart Program seeks to train entrepreneurs on strengthening their Internal governance. The selected candidate will be required to deliver a 5-hour workshop (online or in person) and one one-on-one clinics with each of the 4 startups (minimum of 2 and a maximum of 4 sessions PER startup) that cover the following key topics: Corporate Governance Framework: Review and refine the companys governance structure, including board composition, roles, and responsibilities. Establish or enhance board committees (e.g., audit, risk, compensation). Decision-Making Processes: Develop or improve decision-making protocols to ensure transparency, accountability, and efficiency. Define escalation paths for critical decisions. Compliance and Legal Obligations: Ensure the company is adhering to local and international regulatory requirements. Implement policies for data protection, anti-corruption, and ethical business practices. Risk Management: Establish a risk management framework to identify, assess, and mitigate risks. Develop crisis management and business continuity plans. Stakeholder Engagement: Align governance practices with stakeholder expectations, including investors, board members, employees, and customers. Improve reporting mechanisms to ensure clear communication with stakeholders. People and Culture: Create internal employee workbook Define the company code of conduct Expected Deliverables Consultants Deliverables Conduct preparatory meetings with the Berytech Team to align the content of the workshop as well as the approaches and responsibilities under this agreement. Deliver a one 5-Hour Workshop on Governance for Scaling and a minimum of 2 and a maximum of 4 one-on-one clinics (the number of clinics will be agreed upon with the ScaleSmart Team) A Complete Governance assessment for each startup and roadmap to establish the key Governance Frameworks of committees depending on startup level and needs Provide comprehensive content and materials that can be used by the entrepreneurs during the workshop and the clinics. These materials will include detailed templates, readings for the startup to research and understand the topic more, suggested links and sources on the topic...etc. All these materials should be uploaded in coordination with the Berytech team to make them accessible for the startups. Startups Deliverables After the module, the startups will be able to: Design appropriate governance structures for growth and investment Understand roles, responsibilities, and decision-making mechanisms Prepare for board engagement and investor oversight Qualifications At least 7 years of experience as a Consultant, Trainer, or similar role with strong Governance knowledge Experience in Governance frameworks for both mature and early-stage companies Strong communication skills and ability to engage efficiently with multiple stakeholders Consulting, advisory, and training experience for similar programs at incubators/accelerators Availability to commit to the program timeline and deliverables Fluent in English and Arabic How to apply To apply, please submit your resume, portfolio, and a technical and financial proposal by email to to
