Highways Consultancy Services – Providing Economic And Financial Advisory Services For Road Projects, Including Those Implemented In The Ppp System, In Selected Road Corridors, I.E.: A) A1 Motorway; B) A2 Motorway; C) A4 Motorway; D) Other National Roads Indicated By The Ordering Party.. The Subject Of The Order Is The Provision Of Economic And Financial Advisory Services For Road Projects, Including Those Implemented In The Ppp System, In Selected Road Corridors, I.E.: A) A1 Motorway; B) A2 Motorway; C) A4 Motorway; D) Other National Roads Indicated By The Ordering Party Within 24 Months From The Date Of Conclusion Of The Contract. The Contractors Tasks Will Include: 1) Ongoing Support For The Ordering Party In Contractual Relations With The Motorway Concessionaires In The A1, A2 And A4 Corridor; 2) Support Of Gddkia In The Process Of Taking Over The A4 Katowice - Kraków Motorway, In Connection With The End Of The Concession Agreement; 3) Preparation Of All Necessary Analyses, Studies Necessary For The Public Party To Take Actions/Decisions Resulting From The Adopted Mode Of Dealing With The Concessionaire; 4) Analysis Of Financial Models; 5) Preparation Of Negotiating Positions And Participation In Negotiations Regarding Changes To Concession Agreements; 6) Financial Assessment Of Materials Provided By The Ordering Party And Representatives Of Other Entities Indicated By The Ordering Party, Including In Particular Other Public Administration Bodies And Other External Advisors Of The Ordering Party, With Particular Emphasis On The Need To Reduce Risks And Threats For The Ordering Party, 7) Participation In The Preparation Or Assessment Of Loan Agreements, Agreements On Securing Financial Liabilities, Settlement Agreements In The Event Of Invalidity Of Direct Contracts Between The State Treasury, Companies And Financing Entities; 8) Advice On The Implementation Of Road Investments Indicated By The Ordering Party, 9) Preparation Of Written Economic And Financial Opinions In The Scope Related To The Implementation Of Road Projects; 10) Advice On Conducting Proceedings Based On International Agreements On The Promotion And Mutual Protection Of Investments; 11) Direct Participation Of Designated Experts In Court Or Arbitration Proceedings As An Expert Or Witness; 12) Analysis Of The Economic, Financial And Social Aspects Of Projects Along With The Capital Flows They Generate; 13) Financial Analysis Regarding Possible Refinancing Of Loans; 14) Analysis Of The State Treasurys Liabilities At Various Stages Of Investment Implementation; 15) Other Works, Such As: A) Conducting Audits Of Financial Flows And Settlements Between The Company Constructing And Operating Or Only Exploiting The Road And Other Companies With Which Such A Company Has Concluded Contracts, B) Consulting In The Field Of Financial And Economic Analyses, Financial And Material Planning And Programming, And The Use Of Contractual And Organizational Solutions Regarding The Implementation Of Road Investment Projects In Various Financing Systems.
