The Fund Manager Will Perform Services, The Scope Of Which Is Defined Below, In Compliance With The Relevant Applicable Standards And Their Respective Subsequent Changes And Updates: - Preparation And Execution Of Actions For The Establishment Of The Aif In A Jurisdiction Of Its Choice In An Eu Country In Which The Investors Will Invest; - Management Of The Established Aif; - Collecting Commitments And Funds From Independent Private Investors, At The Fund Level And/Or At The Final Beneficiary Level, Depending On The Nature Of Your Proposal; - Identification Of Eligible Final Recipients, Analysis Of The Viability Of The Investment, As Well As Structuring, Negotiation And Implementation Of Financing From The Fprk In Accordance With The Concluded Operational Agreement; - Carrying Out Monitoring And Control Over The Performance Of The Invested Enterprises, Including: Supporting The Final Recipients In Their Activities, Making Follow-On Investments (If Applicable), Managing Investments Whose Development Is Below Expectations And Others; - Realization Of Exits From The Investments Made, In Accordance With The Provisions Of The Investment Strategy, The Exit Strategy, The Operating Agreement And This Documentation; - Ensuring The Relevant Distributions To The Fund Manager And To The Investors; - Organizing The Liquidation Of The Fprk After The Expiration Of Its Specified Term, With The Care Of A Good Trader (Ie In An Organized And Responsible Manner), In Accordance With The Requirements Of The Operating Agreement. In Addition, During The Implementation Of The Financial Instrument, The Fund Manager Will: - Apply The Rules Regarding Transactions Pari Passu, In Accordance With The Criterion For An Operator In The Conditions Of A Market Economy, In The Sense Of Section 4.2 Of The Notice Or The Rules Of Regulation (Eu) No. 651/2014, Specified In This Documentation, Or The Rules For Providing Minimum Aid According To The De Minimis Regulation; - Applies Eligibility Requirements To Final Recipients And Investments; - Ensures Timely And Reliable Reporting, According To The Requirements Of The Operating Agreement; - Ensures Compliance With Other Applicable Conditions Agreed In The Operating Agreement; - Ensures Compliance With Other Acts Applicable To Efsu At European And National Level.
