Expression of Interest for Consultant for the Transition Unit for Caldera Port The International Finance Corporation (IFC or the Purchaser) has been designated by the Instituto Costarricense de Puertos del Pacífico (INCOP or the Client) to act solely as lead transaction advisor to INCOP in the structuring and implementation of a Public-Private Partnership (PPP) for the Modernization of Infrastructure and Equipment at Caldera Port (the Project). IFCs role is limited to advising INCOP and managing the team of technical consultants to support INCOP in carrying out its responsibilities as the contracting and operational authority for the Project. INCOP currently holds the following concession contracts for the terminals at Caldera Port, which are set to expire in August 2026 after a duration of 20 years: · A Public Works Concession Contract with Public Services for the Construction and Operation of the Bulk Terminal at Caldera Port with Sociedad Portuaria Granelera de Caldera S.A. ("SPGC"). · A Public Services Management Concession Contract for the Terminal at Caldera Port signed with Sociedad Portuaria de Caldera S.A. ("SPC"). On October 30, 2024, INCOP initiated the bidding process for a new concession related to the Modernization of Infrastructure and Equipment at Caldera Port (No. 2024-LY-CAL-000001-INCOP), in search of a new concessionaire to oversee the design, construction, financing, operation, and maintenance of the port for a 30-year period. The awarding process is anticipated to take place in February 2026. In its capacity as the lead advisor for the PPP project, IFC intends to appoint a Technical Consultant (the Consultant), who will conduct the support activities related to the Transition Unit (the TU) to assist INCOP in coordinating the incumbents exit and facilitating the reception of the new concessionaire. The Consultant is tasked with executing the required activities for the TU, facilitating a seamless transition between the current service providers in Puerto Caldera and the incoming concessionaire. These activities will consist entirely of advisory, analytical, and coordination support functions for INCOP. The Consultant will not carry out operational management or take decisions affecting port operations. These advisory responsibilities include addressing relevant technical, financial, legal, and operational matters by providing inputs and recommendations to INCOP so that INCOP may ensure uninterrupted service delivery, in accordance with the timelines set forth in the current contracts and the ongoing bidding process.
