Request for proposals for Policies & Procedures Consulting Services Location: Kigali Deadline: Tuesday, 09/09/2025 17:00 Proof of payment of a non-refundable fee of 10,000 Rwf must be deposited to the following Bank of Kigali account: Account Name: ASA International (Rwanda) Plc, Account Number: 10012-3343926. Terms of Reference (ToR) Request for Proposals for Policies & Procedures Consulting Services 1. Background ASA International (Rwanda) Plc (subsequently referred to as ASA Rwanda or the Company) is a subsidiary of ASA International Holding Ltd., a Public Limited Company registered in Mauritius. ASA Rwanda was registered in 2014 and is licensed by the Central Bank of Rwanda (BNR) as a deposit-taking microfinance institution. The Company, which began operations in 2016, currently operates countrywide with 37 branches. Its primary aim is to alleviate poverty by providing small, socially responsible loans to low-income entrepreneurs, most of whom are women, across the country. ASA International Group Plc, the parent company, has established microfinance institutions in 13 countries in Asia and Africa to bring low-income people into the formal financial system and is listed on the London Stock Exchange. Given its engagement with low-income communities and the inherent possibility of financial irregularities, the Company has established a department to prevent any form of misappropriation. Vision: To reduce poverty by improving the lives of the underprivileged with a key focus on female entrepreneurs. Mission: To demonstrate a strong commitment to financial inclusion and socioeconomic progress. Objective: To provide microfinance loans for business purposes to low-income entrepreneurs with the goal of improving financial inclusion and realizing socioeconomic progress. Our loans provide a vital alternative to those without access to credit from traditional banks, and we provide these loans using the established ASA Model. 2. Objective of the Assignment The objective of this consultancy is to: Review all existing company policies and procedures for relevance, completeness, consistency, and compliance with applicable laws and regulations. Identify any gaps, overlaps, or outdated provisions. Propose improvements, additions, or deletions as necessary. Support the finalization of all policies to meet standard policy frameworks and international best practices. 3. Scope of Work The consultant shall: Conduct a policy audit to review existing policies and procedures across all departments. Benchmark company policies and procedures against relevant legal frameworks, regulatory standards, and industry best practices. Provide clear and actionable recommendations for improvements for each policy. Assist in drafting, revising, and restructuring all identified policies and procedures. Facilitate a validation workshop with key management and departmental heads to review and approve the revised documents. Deliver a final, approved policy manual and procedures manual in both hard and soft copies. 4. Deliverables The key deliverables for this assignment are: An Inception Report outlining the consultants understanding of the assignment, proposed methodology, and a detailed work plan. A comprehensive Policy Audit Report with an analysis of existing policies and specific recommendations for each. Drafts of all revised or newly created policies and procedures. Facilitation of a Validation Workshop and a summary report of the outcomes. A final, approved repository of all company policies and procedures. 5. Required Qualifications and Experience The consultant (individual or firm) must have: A Minimum of a Bachelors degree in one of the following fields: Public Policy, Public Administration, Law (with a focus on corporate or business law), Business Administration (MBA), Economics, or Finance. Masters and PhD are also welcomed. A Minimum of 5 years of experience in policy development, review, or organizational governance. Proven experience working with credible, reputable institutions in financial sector preferably financial institutions and microfinances. Strong knowledge of Rwandan labor laws, regulatory frameworks, and corporate governance standards. Excellent analytical, writing, and communication skills.
