West African Capital Markets Integration (Wacmi) Phase 2 Project The Overall Objective Of The Wacmi Project Is To Establish A Common And Integrated Platform For The Listing, Trading And Settlement Of Capital Markets Securities Transactions Within The Capital Markets In The Economic Community Of West African States (Ecowas) Region. The Wacmi Project Seeks To Implement In Three Phases, Initiatives And Sub-Projects Towards The Eventual Integration Of The Capital Markets In The West African Region; Ghana, Nigeria, Sierra Leone, Cabo Verde, Guinea, The Gambia, Liberia And The Unified Capital Market Of The Eight Countries In The Uemoa (Benin, Burkina Faso, Côte Divoire, Guinea-Bissau, Mali, Niger, Senegal, And Togo). Phase 1 Of The Project Facilitated Trading Among The Stock Exchanges Of Ghana And Nigeria Through A Sponsored Access Model, Where A Home Country Stockbroker Acts As A ‘Sponsor’ Of A Foreign Broker In Transacting Trades In The Home Country. The Wacmi Phase 2 Project Aims To Harmonize And Validate Regulations For Trading And Settlement Of Securities In West African Capital Markets As Well As Implement Other Related Activities. The Project Will Deepen The West African Capital Markets, Enabling Them Achieve Scale To Attract Institutional And Retail Investors, And Broaden The Range Of Capital Markets Instruments, Corporate And Sovereign Issuances Available For Mobilization Of Funding Into Private And Public Enterprises. The Principal Objectives Of The Project Are To: I. Establish A Harmonized Regulatory Environment For The Issuance And Trading Of Capital Market Securities Across The West African Region. Ii. Strengthen Capital Markets Data Collation And Dissemination For West African Capital Markets. Iii. Promote Regional Cooperation For Effective Operation And Regulation Of Securities Markets In The Region. Iv. Support The Development Of A Common Platform For Listing And Trading Of Securities, Settlement Of Transactions, As Well As Increasing Access To Long Term Capital Across The Region. V. Enhance The Knowledge And Skills Of Capital Market Stakeholders In Cross-Border Investments To Promote Regional Securities Trading. The Project Includes The Following Components: Component I: Harmonization Of Ecowas Capital Markets Rules: This Component Focuses On The Review, Harmonization And Validation Of Integrated Market Rules For Securities Trading And Settlements. The Market Rules Will Be Updated To Meet International Best Practices By Regulators, Stock Exchanges And Capital Market Operators From The Member Countries Represented In The Wacmi Project. The Rules To Be Harmonized And Validated Include The Enabling Framework For Public Offers And Listing, Framework For Dispute Resolution, Tax Frameworks, Funds Repatriation, Foreign Capital Flows And Corporate Actions. The Operational Market Rules For Each Of The Separate Wacmi Members Will Be Harmonized By A Wacmic Technical Committee Made Up Of Representatives Of The Region’S Stock Exchanges. The Wasra Technical Committee Will Thereafter Review The Operational Rules Submitted By Wacmic To Ensure The Harmonized Rules Satisfy Regulatory Requirements Of Member Jurisdictions And Conforms To International Standards. Component Ii: Strengthening Regional Capital Markets Data Dissemination And Expanding Regional Integration: The Project Stresses The Necessity For The Council Of The Region’S Stock Exchanges, Wacmic To Bridge The Gap On Capital Markets Data Availability Through Publishing Pooled Investment And Trading Data From All Member Exchanges. This Will Be Achieved Through The Deployment Of A Website And Data Platform With Aggregated Information On The West African Region’S Capital Market Operators, Listed Companies, Listing Processes, Issuers, Market Data And Statistics, Trading And Settlement Rules And Regulations. This Component Will Cover The Design Of The User Interaction And Interface Of The Website (Ux/Ui), Back-Office: Content Management System (Cms) Development, Web Automation: Automated Scripts For Market Statistics, Dedicated Server Hosting, Security, Performance And Reliability. Other Activities Under Component Ii Include Capacity Building And Awareness Exercises To Promote The Regional Capital Market Integration Project In The Countries Directly Captured Under The Project (Ghana, Nigeria, Cabo Verde And Waemu) And Enhancing The Participation Of Capital Market Operators, Policy Makers And Intermediaries In The Region’S Capital Market. In Addition, Under This Component, A Needs Assessment Study On The Equity Capital Markets Will Be Conducted In The Four (4) Member States Of The West Africa Monetary Zone (Wamz) That Do Not Have A Stand-Alone Or Active Stock Exchange Namely The Gambia, Guinea, Liberia And Sierra Leone. Component Iii: Project Management, Monitoring And Evaluation: This Component Will Focus On Providing Project Management Support And Financial Audit.
